Effective Date: September 5, 2026 These Store Owner Terms of Service (“Terms”) govern your registration and use of the Yaaddrop platform as a store owner, merchant, vendor, or business (“Store Owner,” “you,” or “your”). By creating an account, listing products or services, accepting orders, or otherwise using Yaaddrop as a Store Owner, you agree to be legally bound by these Terms. If you do not agree with these Terms, you must not register for or use Yaaddrop as a Store Owner. 1. About Yaaddrop Yaaddrop (“Yaaddrop,” “we,” “us,” or “our”) operates a digital platform that enables eligible businesses and store owners to create storefronts, display products or services, receive customer orders, and use related marketplace, ordering, delivery, payment, and business-management features. Yaaddrop may provide technology and marketplace services but is not necessarily the seller, manufacturer, owner, or supplier of products or services listed by Store Owners. Unless expressly stated otherwise, the contract for the sale of a product or service is between the Store Owner and the customer. 2. Eligibility To register as a Store Owner, you must: Be at least 18 years old or otherwise legally capable of entering into a binding agreement. Have the legal authority to operate the business you represent. Provide accurate and complete registration and business information. Comply with all laws, regulations, licenses, permits, and industry requirements applicable to your business. Have authority to accept these Terms on behalf of the business, if you are registering for a company, partnership, organization, or other legal entity. Yaaddrop may refuse, suspend, or terminate an account where we reasonably believe eligibility requirements have not been met. 3. Store Owner Account You are responsible for maintaining the confidentiality and security of your account credentials. You agree to: Provide accurate, current, and complete information. Keep your business, contact, banking, tax, and other account information up to date. Maintain appropriate security over your account. Immediately notify Yaaddrop of unauthorized access or suspected account compromise. Ensure that employees, contractors, or representatives using your account comply with these Terms. You are responsible for activity conducted through your account unless you can demonstrate that the activity resulted from unauthorized access that was not caused by your failure to maintain reasonable account security. Yaaddrop may require identity, business, tax, payment, or other verification information before permitting you to use certain features or continue operating your store. 4. Store Listings and Product Information You are solely responsible for the accuracy and legality of information associated with products or services you list on Yaaddrop. Listings must accurately describe, where applicable: Product or service name. Description and specifications. Price. Available quantity or inventory. Images and other media. Applicable variations, sizes, colors, or options. Delivery or fulfillment information. Applicable taxes, fees, or charges. Any material restrictions, conditions, or limitations. You must not create misleading, deceptive, fraudulent, or inaccurate listings. You must also ensure that products and services comply with all applicable laws and Yaaddrop’s policies. Yaaddrop may remove, edit, restrict, or disable a listing that violates these Terms, applicable law, or our platform policies. 5. Prohibited Products and Services You may not use Yaaddrop to sell or promote products or services that are illegal, fraudulent, counterfeit, stolen, unsafe, or otherwise prohibited by Yaaddrop. Yaaddrop may prohibit additional categories of products or services at its discretion. You are responsible for obtaining and maintaining all licenses, permits, registrations, certifications, approvals, and authorizations required to sell your products or services. If you are uncertain whether a product or service may be offered through Yaaddrop, you should contact Yaaddrop before listing it. 6. Orders When a customer places an order through Yaaddrop, you are responsible for fulfilling the order in accordance with the information presented to the customer. You agree to: Accept or process orders promptly where applicable. Fulfill accepted orders accurately. Provide products or services matching the customer’s order. Maintain sufficient inventory information. Avoid cancelling orders except where reasonably necessary. Communicate material fulfillment issues promptly. Comply with any applicable delivery, pickup, packaging, or fulfillment requirements. Repeated order cancellations, failure to fulfill orders, inaccurate inventory, excessive delays, or other poor fulfillment practices may result in restrictions or suspension of your account. Yaaddrop may establish additional service-level or fulfillment requirements for Store Owners. 7. Pricing You are responsible for setting and maintaining the prices displayed for your products or services, subject to applicable law and any agreements between you and Yaaddrop. You must not intentionally manipulate prices or provide customers with misleading pricing information. Unless otherwise stated, you are responsible for ensuring that your prices comply with applicable tax, consumer-protection, advertising, and pricing laws. Yaaddrop may display prices, promotions, discounts, delivery charges, taxes, or other amounts based on information provided by you and/or calculated by the platform. 8. Promotions and Discounts Yaaddrop may offer promotional tools that allow Store Owners to create discounts, coupons, campaigns, or other offers. You are responsible for ensuring that promotions you create are accurate and legally compliant. Unless otherwise agreed, you are responsible for the cost of discounts or promotional offers that you authorize. Yaaddrop may establish rules governing eligibility, duration, redemption, and presentation of promotions. 9. Payments Yaaddrop may facilitate or provide access to payment processing services through third-party payment providers or other payment mechanisms. You authorize Yaaddrop and its payment partners, where applicable, to process payments and remit amounts owed to you in accordance with the applicable payment terms. You are responsible for: Providing accurate payment and banking information. Any applicable taxes associated with your sales. Fees charged to you under applicable Yaaddrop or payment-provider terms. Chargebacks, refunds, reversals, or other payment adjustments attributable to your transactions, where applicable. Payment processing may be subject to separate terms imposed by the applicable payment provider. Yaaddrop does not guarantee that every payment method will always be available. 10. Yaaddrop Fees Yaaddrop may charge Store Owners fees for access to or use of certain services. Applicable fees may include, for example: Subscription fees. Transaction or commission fees. Payment-processing fees. Delivery or fulfillment fees. Advertising or promotional fees. Other service fees disclosed to you. Any applicable fees will be disclosed through the platform, an applicable order form, subscription plan, commercial agreement, or other communication. Unless otherwise stated, you authorize Yaaddrop to deduct applicable fees from amounts payable to you or charge the payment method associated with your account. Yaaddrop may change its fees in accordance with applicable law. Where required, Yaaddrop will provide notice before material fee changes take effect. 11. Taxes You are solely responsible for determining, collecting, reporting, and paying all taxes, duties, levies, or other governmental charges applicable to your business and transactions, except to the extent Yaaddrop is legally required to collect or remit such amounts. Yaaddrop may request tax information or documentation from you. You agree to provide accurate tax information and cooperate with reasonable requests relating to tax compliance. 12. Delivery and Fulfillment Where Yaaddrop provides or facilitates delivery services, the applicable delivery terms and requirements will apply. Unless expressly agreed otherwise, Store Owners remain responsible for preparing orders properly and making them available for fulfillment within the required timeframe. You must package products appropriately for their nature and comply with applicable health, safety, labeling, transportation, and packaging requirements. Where delivery is performed by a third party, Yaaddrop does not guarantee a particular delivery time unless expressly stated. 13. Returns, Refunds, Cancellations, and Customer Complaints You are responsible for handling customer complaints, returns, refunds, replacements, warranties, and other post-sale obligations relating to products or services you sell, subject to applicable law and Yaaddrop policies. Yaaddrop may establish marketplace-wide rules governing cancellations, refunds, returns, or customer protection. Where Yaaddrop processes a refund or adjustment on your behalf, you authorize Yaaddrop to deduct the applicable amount from funds otherwise payable to you, where permitted by law. You must not refuse a legally required refund, return, replacement, or other consumer remedy. 14. Product Safety and Recalls You are responsible for ensuring that products you sell are safe, lawful, accurately described, and fit for their intended use. If you become aware that a product you have listed is defective, unsafe, counterfeit, recalled, or otherwise subject to a regulatory concern, you must immediately: Stop selling the affected product. Notify Yaaddrop where appropriate. Provide information reasonably requested by Yaaddrop. Take all legally required corrective or recall actions. Yaaddrop may immediately remove or suspend affected listings. 15. Intellectual Property You retain ownership of intellectual property that you lawfully own and provide to Yaaddrop, including your trademarks, logos, product photographs, descriptions, and other content (“Store Content”). You grant Yaaddrop a non-exclusive, worldwide, royalty-free license to host, reproduce, display, distribute, modify for formatting purposes, and otherwise use your Store Content as reasonably necessary to operate, promote, market, and improve Yaaddrop and provide its services. You represent that you have all necessary rights to provide Store Content to Yaaddrop and that your Store Content does not infringe the rights of another person or entity. You may not use Yaaddrop’s trademarks, branding, software, content, or other intellectual property except as expressly permitted by Yaaddrop. 16. Customer Information and Privacy Store Owners may receive access to certain customer information for purposes of fulfilling orders and providing related services. You agree to: Use customer information only for legitimate purposes related to transactions through Yaaddrop. Protect customer information against unauthorized access, disclosure, loss, or misuse. Comply with applicable privacy and data-protection laws. Not sell or unlawfully disclose customer information. Not use customer information obtained through Yaaddrop for unrelated marketing without an appropriate legal basis and any required consent. Delete or securely dispose of customer information when it is no longer reasonably required, subject to legal obligations. You must not attempt to circumvent Yaaddrop’s privacy or security controls. Additional privacy requirements may be provided in Yaaddrop’s Privacy Policy or a separate data-processing agreement. 17. Customer Communications Where Yaaddrop provides communication tools, you may use them only for legitimate purposes relating to customer orders and your business relationship. You must not use Yaaddrop communication tools to: Harass or threaten customers. Send fraudulent or deceptive communications. Distribute spam. Collect sensitive information unnecessarily. Direct customers to unlawful or fraudulent activities. Circumvent Yaaddrop’s platform or payment systems where prohibited. 18. Reviews and Ratings Customers may submit reviews, ratings, or other feedback concerning Store Owners and their products or services. You must not: Create fake reviews. Pay or incentivize customers to submit misleading reviews. Manipulate ratings. Threaten or harass customers because of reviews. Attempt to remove legitimate negative feedback through deceptive means. Yaaddrop may moderate, remove, or restrict reviews in accordance with its policies and applicable law. 19. Advertising and Marketing If you participate in Yaaddrop advertising or marketing programs, you authorize Yaaddrop to use your store name, logo, product information, images, and other Store Content as reasonably necessary to promote your store and products. You are responsible for ensuring that promotional materials and claims relating to your products are accurate and lawful. Yaaddrop may determine the placement, format, timing, and presentation of advertising within its platform unless otherwise agreed. 20. Compliance With Laws You agree to comply with all laws and regulations applicable to your business and your use of Yaaddrop. Depending on your business and location, this may include laws concerning: Consumer protection. E-commerce. Advertising and marketing. Taxes. Business registration. Product safety. Food and health regulations. Intellectual property. Privacy and data protection. Employment. Competition. Anti-fraud and anti-money-laundering requirements. Import and export restrictions. Nothing in these Terms requires you to violate applicable law. 21. Prohibited Conduct You may not use Yaaddrop to: Violate applicable laws or regulations. Commit fraud or facilitate fraudulent transactions. Sell counterfeit or stolen goods. Misrepresent your identity or business. Manipulate orders, ratings, reviews, or platform metrics. Interfere with Yaaddrop’s technical systems. Attempt to gain unauthorized access to accounts or systems. Upload malicious software or code. Scrape or systematically collect platform information without authorization. Circumvent platform fees or security controls. Infringe another person’s intellectual-property, privacy, or other rights. Use Yaaddrop to facilitate harassment, discrimination, abuse, or other unlawful conduct. Create multiple accounts to evade enforcement actions. Engage in conduct that materially harms customers, other Store Owners, Yaaddrop, or the integrity of the platform. 22. Platform Availability Yaaddrop will use reasonable efforts to maintain availability of its services but does not guarantee that the platform will always be available, uninterrupted, secure, or error-free. Services may occasionally be unavailable because of: Maintenance. Updates. Technical problems. Third-party service interruptions. Network failures. Cybersecurity incidents. Events outside Yaaddrop’s reasonable control. Yaaddrop may modify, suspend, or discontinue features or services where reasonably necessary. 23. Account Suspension and Termination Yaaddrop may suspend, restrict, or terminate your Store Owner account if: You violate these Terms. You violate applicable law. Your account presents a security, fraud, or safety risk. You provide false or misleading information. You fail to pay amounts owed. Your fulfillment performance materially harms customers or the platform. You engage in prohibited conduct. Yaaddrop is required to do so by law or a governmental authority. Yaaddrop reasonably determines that continued access creates a material risk to Yaaddrop, customers, or other users. Where appropriate, Yaaddrop may provide notice and an opportunity to address the issue before taking action. You may close your Store Owner account at any time by following the account-closure process provided by Yaaddrop. Termination does not eliminate obligations that accrued before termination. 24. Effect of Termination Upon termination: Your ability to access your Store Owner account may be disabled. Your listings may be removed. Pending transactions may be completed, cancelled, or otherwise handled in accordance with applicable policies. Amounts owed by either party may remain payable. Provisions that by their nature should survive termination will continue to apply, including provisions relating to intellectual property, privacy, payment obligations, indemnification, disclaimers, limitations of liability, and dispute resolution. 25. Indemnification To the extent permitted by law, you agree to defend, indemnify, and hold harmless Yaaddrop and its affiliates, officers, directors, employees, contractors, and agents from claims, losses, damages, liabilities, costs, and expenses arising out of or relating to: Your products or services. Your Store Content. Your violation of these Terms. Your violation of applicable law. Your infringement of another person’s rights. Your negligent, fraudulent, or wrongful conduct. Your relationship or transactions with customers. Yaaddrop may assume control of the defense of a matter subject to indemnification, in which case you agree to reasonably cooperate. 26. Disclaimers To the maximum extent permitted by applicable law, Yaaddrop provides the platform and related services on an “as available” and “as is” basis. Yaaddrop does not guarantee: A particular number of customers or sales. Any minimum revenue or business results. Continuous or uninterrupted access. That customers will complete transactions. That customer information will always be accurate. That third-party services will always function. That every product or service listed by Store Owners will comply with applicable law. Yaaddrop is not responsible for the quality, safety, legality, availability, authenticity, or accuracy of products or services supplied by Store Owners, except to the extent Yaaddrop is legally responsible under applicable law. 27. Limitation of Liability To the maximum extent permitted by applicable law, Yaaddrop will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, lost revenue, lost business opportunities, loss of goodwill, or loss of data arising from or relating to your use of the platform. To the maximum extent permitted by applicable law, Yaaddrop’s total aggregate liability arising out of or relating to these Terms or your use of Yaaddrop will be limited to the amount of fees actually paid by you to Yaaddrop during the [three/six/twelve] months immediately preceding the event giving rise to the claim. Nothing in these Terms excludes or limits liability that cannot lawfully be excluded or limited. 28. Third-Party Services Yaaddrop may integrate with third-party services, including payment processors, delivery providers, analytics providers, communication services, hosting providers, and other technology providers. Your use of third-party services may be subject to separate terms and privacy policies. Yaaddrop is not responsible for the acts, omissions, availability, or performance of third-party services except to the extent required by applicable law. 29. Changes to These Terms Yaaddrop may update these Terms from time to time. When changes are material, Yaaddrop will provide reasonable notice where required by law. Your continued use of Yaaddrop after updated Terms become effective constitutes acceptance of the revised Terms, to the extent permitted by applicable law. If you do not agree to updated Terms, you must stop using Yaaddrop and close your Store Owner account. 30. Electronic Communications By registering as a Store Owner, you consent to receive electronic communications from Yaaddrop relating to your account, transactions, payments, platform updates, security, legal notices, and other operational matters. You agree that electronic communications may satisfy legal requirements for written communications where permitted by applicable law. 31. Assignment You may not transfer or assign your rights or obligations under these Terms without Yaaddrop’s prior written consent, except where permitted by law. Yaaddrop may assign or transfer these Terms in connection with a merger, acquisition, corporate restructuring, sale of assets, or similar transaction. 32. No Waiver If Yaaddrop does not immediately enforce a provision of these Terms, that does not constitute a waiver of its right to enforce that provision later. Any waiver must be made in writing or through an authorized action by Yaaddrop. 33. Severability If any provision of these Terms is determined to be invalid, unlawful, or unenforceable, that provision will be modified or removed to the minimum extent necessary, and the remaining provisions will continue in effect. 34. Entire Agreement These Terms, together with any applicable Yaaddrop policies, fee schedules, privacy policies, commercial agreements, and other terms expressly incorporated by reference, constitute the agreement between you and Yaaddrop concerning your use of Yaaddrop as a Store Owner. 35. Governing Law and Dispute Resolution These Terms will be governed by the laws of Jamaica, without regard to conflict-of-law principles. Any dispute arising out of or relating to these Terms or your use of Yaaddrop will be subject to the jurisdiction of the courts of Jamaica, unless the parties agree to another lawful dispute-resolution process. Nothing in this section prevents either party from seeking urgent or injunctive relief where legally available. 36. Store Owner Acceptance By selecting “I Agree,” checking an acceptance box, creating a Store Owner account, or otherwise accessing or using Yaaddrop as a Store Owner, you acknowledge that: You have read and understood these Terms. You have authority to enter into these Terms. The information you provided to Yaaddrop is accurate. You agree to comply with these Terms and applicable law.
